Presenting Resolutions for Consideration at the Annual Meeting
Resolutions before the Annual Meeting of the Association of Anglican Musicians
Should a member desire that AAM adopt a particular policy position or request changes to the by-laws or other policies of AAM, a member should deliver to the Board a request for such policy statement or change. Should the Board agree, the Board may take measures within its power to implement such policy change. Should the change require a vote of the members of AAM at the annual meeting, the Board will communicate its consent or its consent subject to conditions stated by the Board to the member. If subject to conditions and the member agrees to such conditions, the policy resolution shall be included in the proxy statement and on the ballot at the annual meeting. If the Board does not agree to the resolution or the member does not agree to conditions required by the Board, the member may have the issue placed in the proxy solicitation and on the annual ballot if the member has a petition signed by 5% of the membership whose dues are current.
Timing. Resolutions need to be submitted to the Board 120 days prior to the annual meeting (February 21, 2020). The Board will respond within 20 days. If the member does not agree with the Board’s decision, a petition with the requisite number of members signing must be submitted to the Board within 80 days of the annual meeting in order to be placed in the proxy solicitation and on the annual ballot.
Public Statement of those Attending the Annual Conference of AAM
Those members physically in attendance at the Annual Conference of AAM may move by majority vote a public statement of those attending during the annual meeting. However, it cannot imply or state that the statement is a policy or resolution of the Association.
Resolutions from the floor during an annual meeting may be ruled as out of order. The chair may vote by proxy those designating the chair as proxy for other issues than those voted on in the annual proxy solicitation.
